CONTRACT ENGLISH (Español debajo)

A. THE PARTIES
SOLLERWEB LIMITED, UK Company Number: 13409610 with its registered office at 20-22 Wenlock Road, London, N1 7GU
AND
Those persons whom have clicked on the advertising order as understanding the Terms and Conditions

B. THEY ACT:
The first party acts in its own name, right and interest, hereinafter referred to as "SOLLERWEB"
The second party acts in its own name, right and interest, and is referred to hereinafter as "the client"

C. THEY DECLARE:
That Sollerweb undertakes marketing activities by creating a advertising listing, calendar entry, story for facebook or advert on the main website www.sollerweb.com
That the client listed above speaks on behalf of the business listed above.
That the client is interested in the services offered by SOLLERWEB in regard to marketing the client business and that SOLLERWEB is interested in providing them, and therefore they enter into the present agreement which will be governed by the following clauses:

D. CLAUSES
FIRST - To market the company through the creation of an advert on www.sollerweb.com

SECOND - SOLLERWEB undertakes to provide the following services depending on which is selected on the online order form:
- Estate Agents only – special offer to include sponsorship of events calendar
• A Sollerweb page with flipping photographs of properties (Max 5) changed as and when required and including links directly to those properties.
• Sponsorship of the Events calendar - a shared top banner with your logo saying “Our Events calendar is sponsored by:” above our events calendar (Maximum 5 Estate agents icons used only)
• Main body copy – able to be changed once per year (at your request)

OR

- Estate Agents only – general flipping photo page with links to properties (no calendar sponsorship) strong>
• A Sollerweb page with flipping photographs of properties (Max 5) changed as and when required and including links directly to those properties.
• Main body copy – able to be changed once per year (at your request)

OR

- A static Sollerweb page
• This will include four photos but no links from the photos
• Main body copy – able to be changed once per year (at your request)
• Links to email, website, facebook, other social media and menus as required.




- Create a unique advert for the business - as selected on the corresponding invoice to this client and display it on www.sollerweb.com for the duration of one year from January to December and then yearly at that date until a request is received to remove/change the status of the advert.
- By agreeing to/ticking this contract at any time during a calendar year you are agreeing to pay the subscription which will be sent to you in April following you’re your page being created/displayed.
- Accept photos and logo from the client of their business.
- Provide links to the clients own email address, own website or facebook page or other social media as desired to enable customer contact, and as detailed as included in their selected advertising option.
- Aiding in the design of any separate advertisements for the SOLLERWEB site as requested
- Providing event and/or offer page information as detailed provided the listing type purchased is relevant.

THIRD - The advert will be in English primarily. If any translation is used SollerWeb will not be held responsible for translation errors however we will always use quality career translators native to each specific language.

FOURTH - Duration of Service - The duration of service and subscription will be from January to December each year – on a yearly subscription basis until given one month notice prior to the end date of one year to cease.

FIFTH - Removal of an advert - The parties will be able to request the removal of an advert unilaterally giving one month notice in writing. This will not determine any refund of the original invoice amount for 1 year which will run to its completion.

SIXTH - Affilliate Marketing/Monetisation - SOLLERWEB reserve the right to use affiliate marketing or other monetization channels on any/all page(s) within their site, facebook or other social media without permission of the advertisers. Any profits deemed from that monetisation is the property of SollerWeb.

SEVENTH: Any contract is of a Business to Business (B2B) nature. SollerWeb Limited is a UK based company therefore any VAT/IVA is accounted for using rules applicable to the country you are in. If you are based in Spain or any other European Country your invoice will be 0% VAT/IVA/Tax rated and you accept the responsibility to declare the VAT/IVA/TAX to your own authorities using the reverse charge mechanism.

EIGHTH - Information Sharing - The client will send any changes or new information about their business, product or event through to info@sollerweb.com as soon as it can (within 48 hours of a change if possible). Once received via email SOLLERWEB will endeavour to add it to the site within 48 hours. SOLLERWEB will not be held responsible for errors on pages, events or offers where information has not been forthcoming within these timescales, or where changes are not notified. SOLLERWEB will not be held responsible for others taking information from SOLLERWEB or SOLLERSHIRLEY and reposting that information.

NINTH - Permissions and Releases - The following clause relates to any information, photographs, video, leaflets or other marketing material that are provided directly to Sollerweb by the Client in order to facilitate the advert -
i) The client agrees to indemnify and hold SOLLERWEB not responsible against any claims, costs and expenses including legal and litigation fees due to materials included in the design at the request of the client for which no copyright permission or privacy release was requested or for which uses exceed the uses allowed pursuant to a permission or release.
ii) The Client gives Sollerweb the absolute and irrevocable right and permission with respect to the photographs that the client provides to use those photographs or media on the advert in question and elsewhere on the SOLLERWEB site, SOLLER SHIRLEY Facebook page or any medium now or hereafter knows, and for any purpose whatsoever, including illustration, promotion, advertising or trade.
iii) All materials purchased or products used by Sollerweb via sites such as shutterstock, Flickr etc are employed on this site come under the terms and conditions of those specific companies, which are deemed to be read and understood by the client.
iv) All materials purchased directly from a local photographer remain the property of Sollerweb and cannot be used by the client without permission.
v) The client agrees to seek advice from Sollerweb before using any image or part of the web design for other purposes.

TENTH - Notwithstanding the service duration, the other aspects of this contract will have a duration of 3 years after the advertising term has completed.

ELEVENTH - The parties agree and accept that this contract can be signed electronically (by clicking the check box on the advertising form) and transmitted via FAX or EMAIL or ELECTRONIC FORM

B. EN REPRESENTACIÓN DE:
La Primera Parte, en adelante conocida como "SOLLERWEB", actúa en su propio nombre e interés.
La Segunda Parte, en adelante conocida como "el Cliente", actúa en su propio nombre e interés.

C. DECLARAN:
Que SOLLERWEB realizará actividades de marketing a través de la creación de un anuncio en la página de internet www.sollerweb.com .
Que el Cliente representa a la empresa mencionada arriba.
Que el Cliente está interesada en recibir los servicios ofrecidos por SOLLERWEB en relación a la promoción de su empresa, y que SOLLERWEB está interesada en ofrecerle dichos servicios, a consecuencia de lo cual han llegado al presente acuerdo gobernado por las siguientes cláusulas:

D. CLÁUSULAS
PRIMERA – Promocionar la empresa del Cliente a través de la creación de un anuncio en www.sollerweb.com

SEGUNDA – SOLLERWEB se compromete a proporcionar los siguientes servicios según el que se seleccione en el formulario de pedido en línea:
- Solo agentes inmobiliarios: oferta especial para incluir el calendario de patrocinio de eventos
• Una página de Sollerweb con fotografías volteadas de propiedades (Máx. 5) cambiadas cuando sea necesario e incluye enlaces directamente a esas propiedades.
• Patrocinio del calendario de eventos: un banner superior compartido con su logotipo que dice "Nuestro calendario de eventos está patrocinado por:" encima de nuestro calendario de eventos (solo se usan 5 íconos de agentes inmobiliarios)
• Copia del cuerpo principal: se puede cambiar una vez al año (a petición suya)

O

- Solo agentes inmobiliarios: página general de fotos con enlaces a propiedades (sin patrocinio de calendario)


• Una página de Sollerweb con fotografías volteadas de propiedades (Máx. 5) cambiadas cuando sea necesario e incluye enlaces directamente a esas propiedades.
• Copia del cuerpo principal: se puede cambiar una vez al año (a petición suya)

O

- Una página estática de Sollerweb
• Esto incluirá cuatro fotos pero no enlaces de las fotos.
• Copia del cuerpo principal: se puede cambiar una vez al año (a petición suya)
• Enlaces a correo electrónico, sitio web, facebook, otras redes sociales y menús, según sea necesario.


- Cree un anuncio único para el negocio, tal como se seleccionó en la factura correspondiente a este cliente y muéstrelo en www.sollerweb.com durante un año a partir de enero y luego anualmente en esa fecha hasta que se reciba una solicitud para eliminar / cambiar el estado del anuncio.
- Al aceptar / marcar este contrato en cualquier momento durante un año calendario, acepta pagar la suscripción que se le enviará en abril siguiente a la creación / visualización de su página.
- Aceptar fotos y logotipos del cliente de su negocio.
- Proporcione enlaces a la propia dirección de correo electrónico del cliente, su propio sitio web o página de Facebook u otras redes sociales, según lo desee, para permitir el contacto con el cliente, y tan detallado como se incluye en la opción de publicidad seleccionada.
- Ayuda en el diseño de cualquier anuncio por separado para el sitio SOLLERWEB según lo solicitado
- Proporcionar información de la página de eventos y / u ofertas como se detalla, siempre que el tipo de listado comprado sea relevante.

TERCERA – El anuncio estará en inglés principalmente. Si se utiliza alguna traducción, SollerWeb no será responsable de los errores de traducción; sin embargo, siempre utilizaremos traductores profesionales de calidad nativos de cada idioma específico.

CUARTA – Duración del servicio: La duración del servicio y la suscripción será desde el 1 de enero de cada año, con una suscripción anual hasta un mes antes de la fecha de finalización de un año.

QUINTA – Las partes podrán solicitar la eliminación de un anuncio unilateralmente con un mes de aviso por escrito. Esto no determinará ningún reembolso del monto de la factura original durante 1 año, que se ejecutará hasta su finalización.

SEXTA – marketing de afiliación o monetización - SOLLERWEB se reserva el derecho de utilizar el marketing de afiliación u otros canales de monetización en cualquiera / todas las páginas dentro de su sitio, facebook u otras redes sociales sin permiso de los anunciantes. Cualquier beneficio que se considere de esa monetización es propiedad de SollerWeb.

SÉPTIMA: Todo contrato es de carácter Business to Business (B2B). SollerWeb Limited es una empresa con sede en el Reino Unido, por lo tanto, cualquier IVA/IVA se contabiliza utilizando las normas aplicables al país en el que se encuentra. Si tiene su sede en España o en cualquier otro país europeo, su factura será del 0% acepte la responsabilidad de declarar el IVA/IVA/TAX a sus propias autoridades utilizando el mecanismo de cobro revertido.

OCTAVA – Cambios – El Cliente notificará a SOLLERWEB a través del correo electrónico info@sollerweb.com cualquier modificación o añadido que quiera realizar a la información sobre su empresa, producto o evento, tan pronto como le sea posible (con 48 horas de antelación siempre que sea posible). Una vez recibida la información, SOLLERWEB se esforzará por colgarla en la página web en un plazo de 48 horas. SOLLERWEB no se hace responsable de posibles errores o ausencias en los textos de las páginas de información, eventos u ofertas si la información no ha sido proporcionada dentro del plazo aquí mencionado, o si dicha información no le ha sido proporcionada. Asimismo, SOLLERWEB no se hace responsable de que terceras partes cojan información de www.sollerweb.com y la utilicen en sus propias publicaciones.

NOVENA – Permisos y derechos de autor: La siguiente cláusula hace referencia a cualquier texto, imagen, video, folleto o cualquier otro material promocional que el Cliente haya proporcionado a SOLLERWEB a fin de elaborar el anuncio.
i) El Cliente no hace responsable y se compromete a indemnizar a SOLLERWEB en caso de que se incurran gastos legales a causa de la utilización indebida de materiales incluidos en el diseño a petición del Cliente.
ii) El Cliente concede a SOLLERWEB el derecho absoluto e irrevocable de utilizar las imágenes u otros materiales que el Cliente proporcione para la elaboración de su anuncio y también en cualquier otra sección de las páginas web de SOLLERWEB, SOLLER SHIRLEY Facebook, o cualquier otro medio y para cualquier otro fin, incluyendo los de ilustración, promoción y marketing.
iii) Todos los bienes adquiridos o utilizados por SOLLERWEB a través de sitios web como Shutterstock, Flickr, etc., están sujetos a los términos contractuales de dichas empresas, los cuales se asume son conocidos y aceptados por el Cliente.
iv) Todos los materiales adquiridos por SOLLERWEB directamente de un fotógrafo serán propiedad de por SOLLERWEB y no podrán ser utilizados por el Cliente sin su expreso permiso.
v) El Cliente promete no utilizar ninguna imagen ni otro material publicado por SOLLERWEB sin haber obtenido su consentimiento explícito.

DÉCIMA – A pesar de la duración del servicio estipulada, cualquier otro aspecto del presente contrato tiene una vigencia de tres años a partir de la fecha de finalización del anuncio.

UNDÉCIMA – Las Partes acuerdan y aceptan que el presente contrato pueda ser firmado de forma electrónica y transmitido por fax o correo electrónico u otro medio electrónico.
